Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Avvic Capital Group (“Avvic”, “Coattails”, “we”, “us”) governing your access to and use of the Coattails website, applications, APIs, and related services (collectively, the “Service”).

By creating an account, accessing the Service, or clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy and Disclosures. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is directed to residents of the United States. You are responsible for ensuring that your use of the Service is permitted in your jurisdiction.

3. Nature of the Service — no investment advice

Coattails provides algorithmic market screening, scoring, signals, research tools, and analytics for informational and educational purposes only. The Service does not provide investment, legal, tax, or accounting advice; is not personalized to your financial circumstances; and does not recommend any security, transaction, or strategy. Coattails is not a registered investment adviser, broker-dealer, commodity trading advisor, or futures commission merchant.

Coattails does not custody funds, execute trades, or have access to your brokerage account. Any investment decision you make based on information from the Service is made solely by you, at your own risk, in your own account. Features described as planned or on our roadmap (including automated execution and broker connectivity) are not part of the Service, may never launch, and would be subject to additional terms and regulatory requirements if they do.

Trading involves substantial risk of loss. Performance figures shown on the Service may be hypothetical, simulated, or backtested — see our Disclosures for important limitations.

4. Accounts

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly at admin@coattails.io of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. Subscriptions, billing, and cancellation

Some features require a paid subscription. Prices, features, and tiers are described at checkout and may change with notice. Unless otherwise stated at checkout: subscriptions renew automatically at the end of each billing period until cancelled; you may cancel at any time, effective at the end of the current billing period, through your account settings or the payment provider through which you subscribed; and fees already paid are non-refundable except where required by law or expressly stated otherwise. We will disclose renewal terms and pricing before you are charged.

Payments may be processed by third-party providers; their terms apply to payment processing.

6. Acceptable use

You agree not to:

• use the Service to violate any law or regulation;
• resell, redistribute, scrape, or systematically extract data, scores, or signals from the Service without a written license from us;
• reverse engineer, probe, or circumvent security, rate limits, or access controls;
• share account credentials or API keys, or exceed the scope of an issued API key;
• misrepresent the Service’s output as your own or as investment advice to third parties;
• interfere with the operation of the Service or other users’ access to it.

7. API access

Programmatic access to the Service (including REST and MCP endpoints) requires an API key issued by us and is subject to these Terms, applicable rate limits, and any separate API or data-license agreement. API keys may be revoked at any time for misuse. Data obtained via the API is for your internal use only unless a written license states otherwise, and all output is subject to the no-investment-advice provisions of Section 3.

8. Intellectual property

The Service — including the Coattails name, scoring methodologies, software, design, and content — is owned by Avvic or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted. Third-party market data displayed in the Service belongs to its respective owners and is subject to their terms.

9. Third-party services and data

The Service may display data from, or link to, third-party services. We do not control and are not responsible for third-party content, accuracy, or availability. Market data may be delayed, incomplete, or inaccurate; we do not warrant its accuracy or timeliness.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SIGNALS, SCORES, OR OTHER OUTPUT WILL BE ACCURATE OR PROFITABLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVVIC AND ITS OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING LOSSES, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

12. Indemnification

You will indemnify and hold Avvic harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right.

13. Dispute resolution; arbitration; class waiver

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in English, and judgment on the award may be entered in any court of competent jurisdiction.

You and Avvic each waive the right to a jury trial and the right to participate in a class action. Disputes must be brought on an individual basis only. You may opt out of this arbitration provision by emailing admin@coattails.io within 30 days of first accepting these Terms.

Either party may bring qualifying claims in small-claims court, and either party may seek injunctive relief in court for intellectual-property misuse.

14. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 13.

15. Changes to the Service or these Terms

We may modify the Service or these Terms. For material changes we will provide notice (for example, by email or in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to changed Terms, stop using the Service and cancel any subscription.
